Definitions

"You" and "your" refer to you, as a user of the Site. A "user" is someone who accesses, browses, or in any other way uses the Site.

"We," "our," and "us" refer to 360score.me.

"Organization" refers to the company/organization holding the software license.

"Content" is defined as text, photos and images, location data, and all other types of data or communication.

Changes to Terms

We may modify these Terms from time to time and such modification shall be effective upon posting on the Site. You agree to be bound to any changes to these Terms when you use the Site after any such modification is posted. It is important that you review these Terms regularly to ensure you are updated about any changes made. These Terms constitute the entire agreement regarding your use of the Site and the services it offers.

Using Our Site

Without limiting any other provisions of these Terms, you may not use this Site for any purpose that is unlawful or prohibited by these Terms. Your access to this Site may be terminated immediately at our sole discretion, with or without notice, if you fail to comply with any provision of this agreement. As such, you expressly indicate:

• You are 18 years or older and have the necessary power and authority to enter into these Terms.
• You are not a competitor of ours.
• You have not been previously banned from our Site or had your account closed.
• You use the Site at your own risk, including the risk that you might be exposed to content that may be deemed inaccurate, objectionable, indecent, offensive, or otherwise inappropriate.
• You must create a user account with accurate and truthful information. You may not impersonate someone else or create an account on behalf of another person or entity without authorization.
• You are responsible for maintaining the confidentiality of your login details and password, all activities that occur related to your account, and for notifying us immediately of any suspected unauthorized account use.
• You may not access, monitor, or copy any content or information of this Site using any robot, spider, scraper, or other automated means without our expressly written permission.
• You may not take any action that imposes, or may impose, an unreasonable or disproportionate burden on our infrastructure.
• You may not "frame," "mirror," or otherwise incorporate any part of this Site into any other website without our prior written permission.

Content on Our Site

The material on this Site is protected by copyright, trademark, and other applicable laws. You may not alter, copy, reproduce, republish, upload, post, transmit, publicly display, or prepare derivative works based on any material from the Site without authorization.

The Site may provide you and other users an opportunity to submit, post, display, transmit, and/or exchange information, ideas, opinions, photographs, images, or other material. Feedback, Reviews, and Ratings do not reflect our views, and we do not have any obligation to monitor, edit, or review any Reviews and Ratings on the Site.

The following behaviors are strictly prohibited:

• Strong, vulgar, obscene, or otherwise harmful language.
• Expressions of prejudice relating to race, ethnicity, gender identity, religious affiliations, ability, socio-economic identity, or sexual orientation.
• Harassing, intimidating, stalking, or threatening other community members.
• Libelous, defamatory, or otherwise tortious language.
• Coercive, threatening, manipulative, or inaccurate/fabricated feedback that harms and subverts.
• Online vandalism or impersonation of another person.
• Posting, distributing, transmitting, or promoting illegal content.
• Invasion of another's privacy.
• Posting materials infringing on the rights of a third party.
• Posting, providing, transmitting, or otherwise making available any junk mail or spam.
• Posting, uploading, or otherwise transmitting any material that contains malicious computer code, or reverse-engineering or hacking any materials on the Site.

Intellectual Property

You represent that: (i) you own your content on or through the Site or otherwise have the right to grant the license set forth below, and (ii) your content does not violate the privacy rights, content rights, publicity rights, copyrights, contract rights, or any other rights of any person or entity.

We reserve the right to use your content in various ways, including incorporating it into reports and other documents for distribution to the organization and interested subsidiaries/affiliates. By the definitions of "your content," you irrevocably grant us world-wide, perpetual, exclusive, royalty-free, sub-licensable, assignable, transferable rights to use your content.

Because we have no control over such sites and resources, you acknowledge and agree that we are not responsible for the availability of such external sites and resources, and do not endorse and are not responsible or liable for any content, advertising, products, or other materials on or available from such sites or resources.

Pursuant to 47 U.S.C. Section 230(d) as amended, we hereby notify you that parental control protections (such as computer hardware, software, or filtering services) are commercially available that may assist you in limiting access to material that is harmful to minors. Infringement Policy

Pursuant to 17 U.S.C. Section 512 as amended by Title II of the Digital Millennium Copyright Act, we reserve the right, but not the obligation, to terminate your license to use the Site if we determine in our sole and absolute discretion that you are involved in infringing activity. All claims of infringement must be submitted in writing and include:

1. A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.
2. Identification of the copyrighted work claimed to have been infringed.

6. A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

Feedback

If you send us any suggestions, opinions, ideas, documents, or proposals ("Feedback"), you certify and agree that: (i) Your Feedback does not contain confidential or proprietary information of a party other than yourself. (ii) Your Feedback is provided with truth and accuracy. All representations and opinions made by you in any surveys are true and accurate as of the submission date. (iii) You certify that submitted Feedback satisfies the component of truth and accuracy and does not violate any of the prohibited conditions listed above. (iv) Should you represent submitted feedback is inaccurate, you understand any revocation is immediately and automatically reported to the top node of the Organization, thereby revoking your expectation of anonymity. (v) You grant us and/or the top node of the Organization irrevocable, royalty-free, exclusive, perpetual, worldwide license to use, modify, publish, and distribute Feedback.

Indemnity

You agree to indemnify and hold us, and our subsidiaries, affiliates, directors, officers, agents, vendors, or other partners and employees harmless from any claim or demand, including attorneys' fees, made by any third party due to or arising out of any material or information posted, provided, transmitted, or otherwise made available by you on the Site or through the Site's services, or by your violation of these Terms, or by your violation of the rights of another.

Disclaimers and Limitation of Liability

You understand and agree that the Site is provided "As-Is" and that we assume no responsibility for your ability to (or any costs or fees associated with your ability to) obtain access to the Site.

If there is any dispute about or involving the Site or its Services, you agree that the dispute shall be governed by the laws of the State of New Jersey, USA, without regard to conflict of law provisions, and you agree to exclusive personal jurisdiction and venue in the state and federal courts of the United States located in the State of New Jersey, Middlesex County.
